With all the Souness talk today I have to wonder what role these new guys are taking with the club. Are they hands on at all or just completely in the background. Does anyone know anything about what the have done/ are doing?

I doubt that this Souness bid was a formal offer, and therefore Jez and SJH were able to deal with it.
Should a formal offer be tabled then a board meeting would need to be called, no doubt with SJH present or on the phone to indicate his position and then the board would make a decision on the offer having considered his views.
It has to be remembered that, in taking over any company, the offer has to be put to the board. SJH is not a member of the board, but obviously his 100% ownership, means he has influence. If the board choose to recommend the offer, it is then put to shareholders, which would be a rubber stamp here because of SJH's 100% stake. If the board reject the offer, it can be formally tabled to shareholders as a hostile bid. This would be extremely unlikely, because the board would surely only reject if SJH said he wasn't interested. Anything else would be turkeys voting for Christmas.
The other directors will become involved as and when necessary. If any rumours of emergency board meetings start flying about, then it might suggest something more concrete is on the table. At the moment Souness is all mouth and no trousers, and not the great football man that Goodman seems to think.

Paddy - just to clarify one point. How about if SJH is up for it, but the board decide they aren't? I assume that then it's rejected, and SJH can't sell. Although there might be a new board quite shortly afterwards...

The board will base 'their' decision around Sir Jack's views, as he is the sole shareholder.

The Board don't have a financial stake in the club beyond their Season Tickets and so their advice can be taken to be impartial. If they made a recommendation to SJH which he may not like then he can at least be assured that he doesn't have a bunch of yes men sitting in the room - and that their advice is worth taking careful consideration about. Besides which, Kevin Threlfall is one clever businessman. Not much ever gets past that fella.

the bidder also will have talks with major shareholders to discover their POV at some point in the process. In this case, that is SJH. If SJH indicates he wants to sell, the board will know, and so will the bidder. All you do then is go hostile, win, and sack the bally lot of them.

As I thought then - thanks for the clarity. Might help if everyone who is posting nonsense on all the other threads read this one...
